1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and KPIE Global Limited ("Company," "we," "us," or "our") concerning your access to and use of My School Library platform, including our website, mobile applications, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our Services.

2. Eligibility

You must be at least 18 years old to register for an institutional account. Students under 18 may use the Services under the supervision of their school or parent/guardian. By using our Services, you represent and warrant that you meet these eligibility requirements.

3. User Accounts

3.1 Account Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Account Types

Our platform supports multiple account types:

• School Administrators: Full access to school management features
• Teachers: Access to class management, grading, and communication tools
• Students: Access to assignments, courses, and academic records
• Parents: Access to children's academic information and communication
• Public Users: Access to marketplace courses and library

4. Subscription Plans and Payments

4.1 Subscription Plans

We offer various subscription plans (Basic, Premium, Enterprise) with different features and capacity limits. Plan details and pricing are available on our website.

4.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees incurred. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

4.3 Free Trial

We may offer a free trial period for new schools. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

4.4 Price Changes

We reserve the right to modify our pricing. We will provide advance notice of any price changes, and changes will take effect at the start of your next billing cycle.

5. Acceptable Use Policy

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Upload or transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or servers
• Use the Services for any illegal or unauthorized purpose
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Collect or store personal data about other users without permission
• Use automated systems to access the Services without authorization

6. Content and Intellectual Property

6.1 Our Content

The Services and all content, features, and functionality are owned by KPIE Global Limited and are protected by copyright, trademark, and other intellectual property laws.

6.2 User Content

You retain ownership of content you upload to the Services ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content as necessary to provide the Services.

6.3 Course and Book Content

Teachers and authors who create courses or upload books to our marketplace retain ownership of their content but grant us rights to distribute and monetize such content according to our revenue-sharing agreements.

6.4 Content Standards

All User Content must comply with our content standards. We reserve the right to remove any content that violates these Terms or is otherwise objectionable.

7. Marketplace and Monetization

7.1 Course Creation

Qualified users may create and sell courses on our marketplace. All courses are subject to our approval and quality standards.

7.2 Revenue Sharing

We operate on a revenue-sharing model for marketplace content. Specific terms are outlined in separate creator agreements. We reserve the right to modify revenue-sharing percentages with advance notice.

7.3 Payouts

Creator earnings are paid according to our payout schedule. Minimum payout thresholds and payment methods are specified in creator agreements.

8. Data Protection and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using our Services, you consent to our data practices as described in the Privacy Policy.

Schools are responsible for obtaining necessary consents from students and parents for the collection and processing of educational data.

9. Service Availability and Modifications

9.1 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to our Services. We may perform maintenance, updates, or modifications that temporarily affect service availability.

9.2 Modifications to Services

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us. Termination does not relieve you of any payment obligations for services already provided.

10.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or for any other reason at our discretion. We will provide notice when reasonably possible.

10.3 Effect of Termination

Upon termination, your right to access the Services will immediately cease. We may delete your account data, though we may retain certain information as required by law or for legitimate business purposes.

11. Disclaimers and Limitations of Liability

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KPIE GLOBAL LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Indemnification

You agree to indemnify, defend, and hold harmless KPIE Global Limited and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Services or violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Nigeria. Any disputes arising from these Terms or the Services shall be resolved through arbitration in Lagos, Nigeria, in accordance with Nigerian arbitration laws.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and KPIE Global Limited regarding the Services.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment
